Terms of Service

Welcome to ParsePilot. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ParsePilot LLC, a Delaware limited liability company ("ParsePilot," "we," "us," or "our"). By accessing or using the ParsePilot platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.

1. Description of Services

ParsePilot provides workflow automation, AI-assisted document and data processing, email ingestion, and integration services designed for business operations ("Services"). Our Services include but are not limited to automated data extraction, document processing, CRM and ERP integrations, email workflow routing, and related monitoring and audit trail capabilities. Services are provided on a subscription basis as further described in your applicable order form or service agreement.

2. Eligibility

The Services are intended for business use. You must be at least 18 years old and have the legal capacity to enter into a binding contract. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration and Security

  • You must provide accurate, complete, and current information, whether you register directly or ParsePilot provisions an account on your behalf during onboarding, and keep that information updated.
  • Where ParsePilot provisions an account on your behalf, you are responsible for promptly securing your credentials upon delivery, including rotating any initial credentials we provide.
  • You are responsible for maintaining the confidentiality of your account credentials, including passwords and multi-factor authentication methods.
  • You are liable for all activity that occurs under your account. Notify us immediately at support@parsepilot.ai if you suspect unauthorized access.
  • We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription, Billing, and Payment

4.1 Fees

You agree to pay all fees associated with your subscription plan as set forth in your order form or the pricing displayed at the time of purchase. All fees are quoted in U.S. dollars unless otherwise stated.

4.2 Billing Cycle and Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. We will charge the payment method on file at the then-current rate.

4.3 Taxes

Fees are exclusive of all taxes, levies, and duties. You are responsible for paying applicable taxes, except for taxes based on ParsePilot's net income.

4.4 Refunds

Unless otherwise required by applicable law, fees are non-refundable. If you cancel your subscription, you will continue to have access through the end of the current billing period.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights.
  • Transmit malware, viruses, or any code designed to disrupt or damage the Services.
  • Attempt to gain unauthorized access to the Services, other accounts, or related systems or networks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Use the Services for competitive benchmarking or to build a competing product or service.
  • Resell, sublicense, or redistribute the Services without our prior written consent.
  • Transmit unlawful, harassing, defamatory, or fraudulent content.
  • Interfere with or disrupt the integrity or performance of the Services.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

6. Intellectual Property

6.1 ParsePilot IP

The Services, including all software, algorithms, models, designs, documentation, and related intellectual property, are and remain the exclusive property of ParsePilot and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the subscription term.

6.2 Customer Data Ownership

You retain all rights, title, and interest in and to the data you submit to the Services ("Customer Data"). You grant ParsePilot a limited license to use, process, and store Customer Data solely to provide and maintain the Services.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use such feedback without restriction or obligation to you.

7. Customer Data and Privacy

7.1 Data Processing

We process Customer Data in accordance with our Privacy Policy and applicable data protection laws. Where required, we will enter into a Data Processing Agreement ("DPA") with you.

7.2 Your Obligations

You are responsible for ensuring that you have all necessary rights, consents, and legal bases to submit Customer Data to the Services. You must not submit data that you are not authorized to share.

7.3 Data Security

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, loss, or alteration. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

7.4 Privacy Rights

You may have the right to access, correct, delete, and opt out of certain processing of your personal data under applicable privacy laws. To exercise these rights, contact us at privacy@parsepilot.ai. We will respond within 45 days.

7.5 Data Retention and Deletion

Upon termination of your account, we will delete or return your Customer Data within 90 days, unless retention is required by applicable law. You may request data export at any time during your subscription.

8. Confidentiality

Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information does not include information that is publicly available, independently developed, or lawfully received from a third party without restriction.

9. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions resulting from circumstances beyond our reasonable control, including but not limited to internet outages, third-party service failures, or force majeure events.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARSEPILOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

ParsePilot does not warrant that the Services will meet your specific requirements, that results obtained from the Services will be accurate or reliable, or that any errors in the Services will be corrected. Features designated as beta, preview, or early access are provided without warranty of any kind and may be modified or discontinued at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PARSEPILOT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF PARSEPILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PARSEPILOT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PARSEPILOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, ParsePilot's liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ParsePilot and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) Customer Data submitted by you to the Services.

13. Term and Termination

13.1 Term

These Terms are effective when you first access or use the Services and continue until terminated by either party.

13.2 Termination for Convenience

You may terminate your account at any time by contacting us at support@parsepilot.ai or through your account settings. Termination will take effect at the end of the current billing period.

13.3 Termination for Cause

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if continued provision of the Services would violate applicable law.

13.4 Effect of Termination

Upon termination, your right to access the Services ceases. Sections that by their nature should survive termination will survive, including but not limited to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

14.2 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at legal@parsepilot.ai and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Austin, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information. Either party may also bring an individual action in small claims court as an alternative to arbitration.

15. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Services at least 15 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and terminate your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with any applicable order forms, DPAs, and policies referenced herein, constitute the entire agreement between you and ParsePilot regarding the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16.3 Waiver

The failure of ParsePilot to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. ParsePilot may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

16.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure failures, or third-party service outages.

16.6 Notices

All notices under these Terms shall be in writing and sent to the email address associated with your account or, for notices to ParsePilot, to legal@parsepilot.ai.

16.7 Export Compliance

You agree to comply with all applicable U.S. export control laws and regulations. You shall not export, re-export, or transfer the Services to any prohibited country, entity, or person under U.S. law.
